Company Formation in Tangier: Free Zone, SARL and the 7 Steps

Sommaire

Setting up a company in Tangier means settling three questions before the articles of association are even drafted: which tax regime (free zone or standard law), which legal form (SARL, SA or branch) and which site (Tanger Free Zone, Tanger Automotive City, Tanger Tech or the city itself). These three choices are made together, because each one shapes the other two. This guide takes them in the order in which they actually arise, with the applicable legislation and the practical steps of incorporation.

In brief. A company can be formed in Tangier under standard law or under the industrial acceleration zone regime (Law No. 19-94), which is reserved for export-oriented businesses located in an approved zone. The SARL is the most common form (Law No. 5-96, share capital freely set by the articles); the SA (Law No. 17-95) is the choice for structured projects; the branch suits a foreign company that does not want to create a separate entity. Incorporation involves the negative certificate, the articles of association, registration with the commercial register, the tax identification number and CNSS affiliation — in a free zone, the operating licence issued by the zone committee is added to the list.

Free zone or standard law: the first decision

The question is not “which regime is more advantageous” but “which regime is my business eligible for”. The industrial acceleration zone regime is reserved for companies that set up physically in an approved zone and whose activity is export-oriented, under the supervision of a local committee. A company selling on the Moroccan market — retail, consumer services, food and beverage, local construction — falls under standard law, however attractive the tax advantage may be.

Criterion Standard law Industrial acceleration zone
Governing legislation General Tax Code, Laws 5-96 / 17-95 Law No. 19-94 + General Tax Code (Art. 6, 19, 144)
Location Unrestricted Within an approved zone (TFZ, TAC, Tanger Tech, etc.)
Market Unrestricted Export-oriented; local sales regulated
Corporate income tax Standard rate of 20% (Art. 19 General Tax Code) Full exemption for the first 5 financial years, then taxation according to the company’s situation (Art. 6 General Tax Code)
Prior authorisation No Yes — zone committee, decision within 30 days (Art. 12, Law 19-94)
Customs General regime Suspensive regime specific to the zone

The difficult case is that of mixed projects, which serve both foreign customers and the domestic market. There, the decision rests on the actual share of export turnover, the cost of setting up in the zone and the administrative burden of tracing flows. A three-year simulation settles the question better than reasoning on principle. Our comparison free zone versus standard-law company in Morocco details both situations.

Which legal form for a company in Tangier?

Three forms cover the vast majority of projects. The choice depends on the number of shareholders, the need to raise funds and whether or not there is a parent company abroad.

SARL SA Branch
Legislation Law No. 5-96 Law No. 17-95 Law No. 15-95 (Commercial Code)
Shareholders 1 (single-member SARL) to 50 5 shareholders minimum No shareholders: extension of the parent company
Share capital Freely set by the articles MAD 300,000 minimum (MAD 3,000,000 in the event of a public offering) No separate capital
Management One or more managers Board of directors, or management board and supervisory board Legal representative
Statutory auditor Mandatory if turnover excl. VAT > MAD 50 million (Art. 80, Law 5-96) Mandatory Depends on the parent company
Liability Limited to contributions Limited to contributions The parent company is liable for the commitments

The SARL is the form chosen by the great majority of SMEs setting up in Tangier: flexible management, no minimum capital imposed by law, lighter formalities. The SA becomes necessary as soon as a project involves several funding rounds, multi-tier governance or the entry of institutional investors. The branch is the choice of a foreign company that wants to operate in Tangier without creating a separate legal entity — with the trade-off that the parent company bears all of the commitments. The three regimes are detailed in our article on the SA, SARL or branch legal structure in a free zone.

Where to set up: the four Tangier sites

Speaking of “the” Tangier free zone is a shortcut. The region has several industrial acceleration zones, all under the same legal regime but with different ecosystems. The site determines the industrial neighbours, the logistics and, often, access to skilled labour.

Site Focus Project profile
Tanger Free Zone (TFZ) Historic zone opened in 1999, diversified industrial and service activities Light industry, logistics, services to exporting companies
Tanger Automotive City Automotive industry — Morocco’s leading export sector since 2025 (Office des Changes) Equipment manufacturers, tier 1 and tier 2 suppliers
Tanger Tech (Mohammed VI City) Industrial hub and smart city, 467 ha designated as an industrial acceleration zone (Ministry of Industry and Trade) Recent industrial projects, electronics, energy
Tangier city (standard law) Outside the free zone Trade, services, domestic market

A useful clarification: Tanger Med Zones, a subsidiary of TMSA, is the developer and operator of several of these sites — it is not a free zone in itself. A company sets up in a zone, not “with” the developer. If the choice has not yet been made, our guides cover each site: which free zone to choose in Tangier, setting up a company in Tanger Tech, setting up a company in Tanger Automotive City and setting up in Tanger Free Zone.

The 7 steps to incorporating a company in Tangier

1. Negative certificate. Issued by OMPIC, it certifies that the chosen company name is available. It is the first document in the file and has a limited period of validity: do not apply for it too early.

2. Drafting the articles of association. Corporate purpose, registered office, share capital, allocation of shares, management rules. In a free zone, the corporate purpose must be consistent with the activity that will be submitted to the zone committee — a purpose that is too broad or poorly worded slows down the review.

3. Deposit of share capital. For an SA, the bank deposit of cash contributions is mandatory before registration. For a SARL, it is mandatory when the share capital exceeds MAD 100,000 (Art. 51, Law 5-96). Opening the account is often the longest step for a foreign investor: our article on opening a bank account in a free zone details the documents required.

4. Zone operating licence (free zone only). The file is reviewed by the zone’s local committee, which rules within 30 days (Art. 12, Law 19-94). This is the step specific to the IAZ regime; it is prepared in parallel with the articles of association, not afterwards.

5. Registration with the commercial register. Filing of the articles of association, the negative certificate, the capital deposit certificate where applicable and the identity documents of the directors. Since Law No. 88-17, incorporation can be completed electronically via the dedicated platform.

6. Tax identification number and professional tax. Registration with the Directorate General of Taxes (DGI), obtaining the tax identification number and the common company identifier (ICE). Professional tax in a free zone follows specific rules.

7. CNSS affiliation and first obligations. Employer affiliation, registration of employees, setting up payroll. From this point on, the filing calendar is running: monthly CNSS declaration, VAT according to the applicable frequency, CIT instalments.

How much does it cost to set up a company in Tangier?

There is no single price, and any overall figure quoted without a detailed estimate would be misleading. The cost breaks down into items that can, however, be anticipated:

Item Nature What drives the amount
Administrative fees Negative certificate, registration duties, court registry fees, legal publication Legal form, amount of share capital
Share capital Shareholders’ contribution — this is not an expense, it is a resource of the company SA: MAD 300,000 minimum; SARL: unrestricted
Domiciliation or premises Registered office address Free zone (rent set by the developer) or city
Advisory fees Drafting of the articles, zone application file, bank support, accounting set-up Complexity of the structure, presence of a foreign parent company
Zone security deposit According to the developer’s terms Site and surface area

We have detailed each item, together with the associated timeframes, in our article on the cost and time required to set up a company in a free zone.

What changes once the company is formed

Incorporation is not the end of the journey but the beginning of the obligations. A company in Tangier — in a free zone or not — keeps accounts in line with the General Accounting Standards Code, files its tax return within three months of the year-end (Art. 20 General Tax Code), pays its CIT instalments (Art. 170 General Tax Code), declares its VAT according to the applicable frequency (Art. 108 General Tax Code) and reports its salaries to the CNSS every month. In a free zone, the burden of proof is added: the exemption rests on a qualification that the tax authorities can audit, and the traceability of flows with the taxable territory must be beyond reproach.

Three points deserve particular attention in the first year. The minimum contribution (Art. 144 General Tax Code): newly formed companies are exempt for the first 36 months of operation, although this exemption cannot extend beyond 60 months after incorporation — after that, it is due even without a profit, at a rate of 0.25% with a floor of MAD 3,000. Foreign exchange controls for contributions from, and dividend repatriation to, a foreign parent company. And the appointment of a statutory auditor, mandatory for every SA and for any SARL whose turnover exceeds MAD 50 million.

This is the stage at which a free zone chartered accountant in Tangier makes the difference: not to keep the books, but to secure a conditional tax advantage.

The costly mistakes at incorporation

Choosing the free zone as a matter of principle. A company whose sales are mostly local is not eligible and will lose time in the review process. Under-sizing the share capital of a SARL on the grounds that it is unrestricted: banks and partners read it as a signal of financial strength. Drafting a generic corporate purpose that does not match the activity presented to the zone committee. Opening the bank account too late, when this is the step that most often holds up foreign investors. Neglecting the relationship with the parent company: transfer pricing, intra-group agreements and foreign exchange controls are decided before registration, not afterwards.

FAQ — Company formation in Tangier

Do you need to be a Moroccan resident to set up a company in Tangier?
No. A foreign investor can hold 100% of the share capital of a Moroccan company and act as its manager. The additional formalities concern identification, opening the bank account and, for contributions in foreign currency, the declaration to the Office des Changes, which is a condition for the subsequent repatriation of dividends.

What is the minimum share capital for a SARL in Tangier?
Law No. 5-96 does not set a minimum: the share capital is freely determined by the articles of association. The bank deposit of cash contributions is mandatory when the share capital exceeds MAD 100,000. In practice, a share capital consistent with the business makes banking relationships easier.

How long does it take to set up a company in Tangier?
The timeframe depends on the legal form, how quickly the bank account is opened and, in a free zone, the review of the file by the zone committee, which has 30 days to rule (Art. 12, Law 19-94). No overall timeframe can be guaranteed without knowing the file.

Can a company in Tanger Free Zone sell in Morocco?
The industrial acceleration zone regime is export-oriented. Sales into the taxable territory are regulated and treated as imports for customs and VAT purposes. A project mainly aimed at the domestic market falls under standard law.

What is the corporate income tax rate in Tangier in 2026?
Under standard law, the standard rate is 20% (Art. 19 General Tax Code), raised to 35% for companies whose net profit reaches MAD 100 million. In an industrial acceleration zone, the company is exempt from CIT for its first five consecutive financial years, then taxed according to its situation; IAZ companies are expressly excluded from the 35% rate.

Conclusion

Setting up a company in Tangier is a three-part decision — regime, form, site — taken together and shaping the company’s taxation for years to come. The free zone regime is powerful but reserved for eligible projects; the SARL covers most needs; the choice of site commits the company to the ecosystem in which it will operate. The incorporation steps are well known; what sets a well-launched project apart is the quality of the decisions made before registration.
