Free Zone or Standard Company in Morocco: The Complete Tax Comparison
Choosing between a free zone setup (Industrial Acceleration Zone, ZAI) and a standard (common-law) company in Morocco is one of the first structuring decisions of any investment project. The tax gap between the two regimes is considerable: a free zone company enjoys a full corporate income tax (IS) exemption for five years, whereas a standard company is taxable from its first profitable financial year. But the favourable regime is not open to every activity, nor without conditions. This comparison details, point by point, what separates a free zone and a standard company in Morocco on the tax front, to help you choose with full knowledge of the facts.
Two regimes, two tax logics
The distinction between a free zone and a standard company does not lie in the legal form — SARL, SA or branch are possible in both cases — but in the tax regime attached to the location and the activity.
The standard (common-law) company
A standard company is subject to the general tax regime. Since the reform launched by the 2023 Finance Act, IS is converging towards two rates: 20% for companies whose net taxable profit is less than or equal to MAD 100 million, and 35% above that threshold. Every new company also benefits from an exemption from the minimum contribution during the first 36 months, but remains liable for IS on its profits from the first profitable year.
The free zone company (ZAI)
A company established in an Industrial Acceleration Zone falls under a special regime provided by Law 19-94 and Article 6 of the General Tax Code. It benefits from a full IS exemption for five years, then a a corporate income tax rate that depends on the company’s situation. Added to this are the VAT exemption on capital goods and locally acquired services, and the exemption from import customs duties. For the detail of these benefits, see our guide to the tax benefits of Industrial Acceleration Zones.
Tax comparison: free zone vs standard company
The table below summarises the main differences. It is a general framework: each situation must be validated against the actual activity.
| Criterion | Standard company | Free zone company (ZAI) |
|---|---|---|
| IS — first 5 years | 20% / 35% depending on profit | Full exemption |
| IS — thereafter | 20% / 35% | depending on situation (study required) |
| VAT on local equipment/services | Standard regime | Exemption |
| Import customs duties | Applicable | Exemption |
| Location | Free | Within the zone perimeter |
| Eligible activities | All | Restricted |
The conditions and limits of the free zone regime
The free zone tax advantage comes with a counterpart: it is regulated. Several conditions must be met.
Eligibility by activity
The ZAI regime does not apply to every activity. Excluded in particular are construction and assembly sites, credit institutions, and insurance and reinsurance companies. An export orientation is also central to the logic of free zones. Checking your activity’s eligibility is therefore the first step, before any choice of regime.
A location within the zone perimeter
To benefit from the regime, the company must be effectively established within the perimeter of an Industrial Acceleration Zone (for example Tangier Free Zone). A standard company, by contrast, may set up freely anywhere in the country.
A transition to anticipate
The IS exemption is not permanent: at the end of the five years, the company moves to the a corporate income tax rate that depends on the company’s situation. This transition must be prepared. We devote a dedicated article to the end of the five-year IS exemption in a free zone.
How to choose between the two regimes
The choice depends on three main questions: is your activity eligible for the free zone regime? Is your model geared towards export or international markets? And can your operation be located within a zone perimeter? If the answer is yes, the free zone tax advantage is generally decisive. If your activity mainly targets the domestic market or falls outside the scope of eligibility, the standard company remains the natural route. The choice of legal form (SARL, SA, branch) is a separate decision, which we detail in our article on the legal structure in a free zone.
How Cabinet Dami & Associés supports you
Arbitrating between a free zone and a standard company in Morocco requires a precise analysis of the activity, the target market and the envisaged structure. Since 1991, Cabinet Dami & Associés has supported directors and investors in this choice, in Casablanca and Tangier Free Zone alike. Our experts assess your eligibility, simulate the tax impact of each option and secure the whole process. To study your project, contact our free zone experts.
The corporate income tax (IS) rate applicable after the exemption period depends on each company’s situation — in particular whether the activity is export-oriented and whether there is local turnover (a so-called “mixed” activity). Cabinet Dami carries out a tailored study to determine the regime and rate that apply to your specific case.
FAQ — Free zone vs standard company in Morocco
Does a free zone company pay taxes?
For the first five years, it is fully exempt from IS. Thereafter, it is taxed at the a corporate income tax rate that depends on the company’s situation. It remains subject to its filing obligations throughout this period.
Is the free zone regime open to all activities?
No. Some activities are excluded (construction/assembly sites, credit institutions, insurance/reinsurance), and the regime is part of an export-oriented logic. Eligibility is assessed case by case.
Can a standard company be converted into a free zone company?
Benefiting from the regime requires effective establishment within a zone perimeter and an eligible activity. Any change of situation should be studied with a specialised firm to confirm its feasibility.
Does the legal form change the tax regime?
No. The free zone tax advantage depends on the activity and the location, not on the form (SARL, SA, branch).
Conclusion
Between a free zone and a standard company in Morocco, the tax gap is major, but the favourable regime remains conditional on activity and location. The right choice is made after analysing your project. For an informed and secure decision, talk to the experts at Cabinet Dami & Associés.
